Digital Communications & Social Media Disclaimer

1. Scope
WELF Advisory Limited (“WELF”, “we”, “our” or “us”) may publish, share or make available articles, posts, newsletters, emails, podcasts, webinars, videos, interviews, market updates, educational materials, presentations, graphics, images and other content through digital channels, including LinkedIn, X, Instagram, YouTube, websites, email, messaging platforms and other social media or digital communication channels (“Digital Communications”).

This Digital Communications and Social Media Disclaimer applies to all such content, unless expressly stated otherwise.
2. Intended Audience
Unless expressly stated otherwise, WELF’s Digital Communications are intended exclusively for persons who may properly be classified as Professional Clients and/or Market Counterparties under applicable DFSA Rules.

They are not directed at Retail Clients and should not be relied upon by any person who does not meet the applicable client classification criteria.

No person should rely on any Digital Communication as a basis for seeking or obtaining regulated financial services from WELF unless and until WELF has completed the required onboarding, client classification and engagement process.
3. General Information Only
Digital Communications are provided for general informational, educational and corporate communication purposes only.

They do not constitute, and should not be construed as:  
- investment advice;
- legal advice;
- tax advice;
- accounting advice;
- financial planning advice;
- portfolio management advice;
- a personal recommendation;
- a public offer;
- a prospectus;
- an invitation;
- a solicitation;
- an inducement;
- or  an offer to buy, sell, subscribe for or otherwise deal in any financial product, investment or service.

Any regulated service provided by WELF is subject to formal onboarding, client classification, suitability and/or appropriateness assessment where applicable, AML/CFT and sanctions checks, and execution of the relevant engagement documentation.
4. No Personal Advice or Client Relationship
No Digital Communication is prepared with regard to the investment objectives, financial situation, knowledge, experience, risk tolerance, tax position, legal circumstances or specific needs of any person.

Accessing, reading, viewing, liking, sharing, commenting on, reposting or responding to any Digital Communication does not create a client relationship, advisory relationship, fiduciary relationship or investment management relationship with WELF.

WELF does not assume any duty to provide ongoing monitoring, updates, corrections, advice or recommendations solely because a person has accessed or interacted with a Digital Communication.
5. Financial Promotions and Marketing Communications
Certain Digital Communications may constitute marketing communications or financial promotions under applicable laws and regulations.

Where WELF issues a communication that is intended to be a financial promotion or marketing communication, such communication is subject to applicable internal approval, regulatory and disclosure requirements.

Any statement that a communication is provided for general information only does not, by itself, determine its regulatory character. The legal and regulatory treatment of any Digital Communication depends on its content, context, audience and purpose.
6. Market Commentary, Opinions and Forward-Looking Statements
Any view, opinion, market commentary, projection, scenario analysis, forecast or forward-looking statement contained in a Digital Communication is provided only as at the date of publication.

Such content may be based on assumptions, may change without notice and should not be treated as a guarantee, assurance or reliable indication of future performance, market movement, investment outcome or tax, legal or regulatory result.

WELF is under no obligation to update or revise any Digital Communication after publication.
7. Investment Risk
Investments involve risk.

The value of investments may go down as well as up, and investors may lose part or all of the amount invested.

Past performance is not a reliable indicator of future results.

Any reference to historical performance, market data, indices, asset classes, investment themes, third-party research or investment strategies is provided for general context only and should not be relied upon as a basis for making any investment decision.
8. No Instructions Through Social Media
WELF does not accept orders, investment instructions, transaction requests, subscription requests, redemption requests, payment instructions, changes to client mandates, account information, personal data, confidential information or time-sensitive communications through comments, replies, reposts, likes, reactions, tags, mentions, direct messages or similar social media functionality.

Any such communication shall not be treated as received, accepted or acted upon by WELF unless confirmed through WELF’s official communication channels and in accordance with the applicable engagement documentation.
9. Confidentiality and Personal Information
Users must not post, send or disclose confidential information, personal data, account information, passwords, identification documents, bank details, investment instructions or other sensitive information through public comments, social media messages or third-party platforms.

WELF shall not be responsible for any loss, disclosure, misuse or unauthorised access arising from information shared through such channels.
10. User-Generated Content and Moderation
WELF may monitor, moderate, hide, remove, restrict, archive or report any comments, posts, tags, messages or other user-generated content that WELF considers, in its sole discretion, to be unlawful, misleading, abusive, defamatory, offensive, discriminatory, promotional, spam-related, confidential, infringing, irrelevant, inconsistent with WELF’s legal notices, or otherwise inappropriate.

WELF is not responsible for user-generated content posted by third parties on or through social media platforms, even where such content appears on, refers to, tags, mentions or links to a WELF account or communication.

User-generated content does not represent the views of WELF unless expressly confirmed by WELF in writing through an official channel.
11. No Endorsement
A follow, connection, like, share, repost, comment, tag, mention, reaction or other social media interaction by WELF, its employees, officers or representatives does not constitute endorsement, approval, verification, recommendation or adoption of any third party, product, service, opinion, statement, investment strategy, financial product, issuer, platform or website.

WELF may share or refer to third-party content, research, publications, websites, platforms or materials for general informational purposes only.

WELF does not control, verify or endorse third-party content and accepts no responsibility for its accuracy, completeness, timeliness, legality, security, privacy practices or fitness for any purpose.
12. Third-Party Platforms
Digital platforms are operated by third parties and are subject to their own terms, policies, algorithms, security standards, privacy practices, availability, moderation rules and technical limitations.

WELF does not guarantee that any Digital Communication will be available, uninterrupted, secure, complete, accurate, current or free from errors, viruses or other harmful elements.  Users access and use third-party platforms at their own risk.
13. Data Protection, Cookies and Analytics
WELF may process personal data and related digital information in connection with Digital Communications, including where users interact with WELF content, subscribe to updates, attend webinars, access linked materials, complete forms or communicate through digital channels.

Such processing shall be carried out in accordance with WELF’s Privacy Notice, Cookie Notice and applicable data protection laws.

Digital Communications may involve the use of cookies, pixels, analytics tools, tracking technologies, campaign measurement tools or similar technologies, subject to WELF’s Cookie Notice and applicable consent requirements.

Users should also review the privacy terms and cookie settings of the relevant third-party platform.
14. Record-Keeping and Monitoring
WELF may monitor, record, archive and retain Digital Communications, approvals, marketing materials, interactions, messages and related records in accordance with applicable law, regulatory requirements, internal policies and record-keeping obligations.

Such records may be used for compliance, audit, risk management, complaints handling, regulatory enquiries, investigations or dispute resolution.
15. Intellectual Property
All intellectual property rights in WELF Digital Communications, including text, graphics, videos, images, logos, designs, reports, commentary, presentations and other materials, are owned by or licensed to WELF unless otherwise stated.

Users may not copy, reproduce, edit, distribute, publish, exploit, frame, scrape, repurpose or create derivative works from such materials without WELF’s prior written consent, except where permitted by mandatory law.

WELF’s name, logo, brand, staff profiles, regulated status or published content must not be used in any manner that suggests endorsement, affiliation, authorisation, employment, partnership, investment recommendation or regulatory approval without WELF’s prior written consent.
16. Fraud, Impersonation and Unauthorised Communications
Users should be alert to impersonation, fraud, fake accounts, cloned websites, phishing messages, unauthorised investment offers and fraudulent payment requests.

WELF will not request passwords, personal security credentials or payment transfers through public social media posts or comments.

Any suspicious communication purporting to come from WELF should be verified through the official contact channels published on WELF’s website.
17. Relationship With Other Legal Notices
This Digital Communications and Social Media Disclaimer should be read together with WELF’s Terms & Conditions, Regulatory Disclosure, Privacy Notice, Cookie Notice, Risk Disclosures and any other applicable legal or regulatory notices published on the Website.

In the event of any inconsistency between a Digital Communication and formal engagement documentation entered into with a Client, the relevant engagement documentation shall prevail.
18. Amendments
WELF may amend, remove, restrict or discontinue any Digital Communication, digital channel, social media account, publication, subscription service, webinar, video, newsletter or related functionality at any time without notice.

WELF may update this Disclaimer from time to time by publishing an updated version on the Website.
19. Governing Law
This Disclaimer and any non-contractual obligations arising out of or in connection with it are governed by the laws of the Dubai International Financial Centre.

The courts of the DIFC shall have exclusive jurisdiction to hear and determine any dispute arising out of or in connection with this Disclaimer.
20. Non-Excludable Duties
Nothing in this Disclaimer excludes or limits any duty or liability that cannot lawfully be excluded or limited under applicable law or DFSA-administered legislation.
